Chairman A. An Executive Session under Section 708(a)(5) of the Sunshine Law was held July 16 ,2014 at 12:00 noon to discuss items related to negotiation of regulatory compliance agreements and today at 4:00 to discuss a potential sale of property .

GENERAL/ADMINISTRATIVE : A. Negotiation of Lease Agreement - New Office Space:

Motion

: The Board authorizes the CEO to negotiate and execute a lease agreement for new office space.

Authorization of Reduction of Years to Pension Plan Vesting: Motion

: The Board authorizes the CEO to execute the appropriate documents reducing the vesting service requirement of CRW’s Pension Plan through PMRS to three (3) years of service.

C. Authorization of Procurement of Life and Disability Insurance:

Motion : The Board authorizes the CEO to execute the appropriate documents to procure life insurance and short and long term disability insurance for management staff from either Power - Kunkle or Employee Benefits Solutions at the following levels dependent on proposals received:  Life Insurance: 1 times salary to a maximum of $100,000;  Short Term and Long Term Disability Insurance: 60% of salary to a maximum of $6,000per month.

FINANCE : A. RESOLUTION 2014 -

– Variable Rate Demand Sewer Revenue Bonds : Motion:

The Board ratifies the actions of all acts associated with CRW’s Issuance of VariableRate Demand Sewer Revenue Bonds, Series 2014B in an Aggregate Principal Amount of$29,660,000 and its Sewer Revenue Bonds, Series 2014C in the Aggregate Principal Amount of $21,500,000 which closed on July 17, 2014.

B. RESOLUTION 2014 -

Modifications to PENNVEST Loan Agreements

: Motion:

The Board ratifies the actions of all acts associated with CRW’s entry into Agreements modifying loan agreements #78004 and #73137 with the Pennsylvania Infrastructure Investment Authority (PENNVEST) to reflect Capital Region Waters name change, parity position of the loans and restrictions on further parity obligations using Capital Region Waters sewer revenues.

C. PENNVEST Loan Closing – AWTF Improvement Project

– HRG Amendment No. 1:

Motion:

The Board authorizes the Chief Executive Officer to execute Amendment No. 1 to the Agreement with HRG in the amount of $5,800.00 for additional services required for the PENNVEST Pre closing Letter and additional services for standards and related documentation required for DEP. Funding Source: Sewer #6900B - AWTF Upgrade PENNVEST Financing

: A. Sinkhole Investigation and Remediation Program – Geotechnical/Geophysical Services:

Motion:

The Board authorizes the Chief Executive Office to execute an agreement with GHD to provide professional services related to the prioritization, assessment and remediation of sinkholes related toCRW assets in an amount not to exceed $197,100

– Funding Source: Sewer #7203.1

Regular Meeting -

WATER: A. DeHart Property – Agreement of Sale with The Conservation Fund

: Motion

: The Board authorizes the CEO to negotiate an Agreement of Sale with The Conservation Fund , Fort Indiantown Gap’s (FIG) conservation partner, for 383.8 acres of land owned by CRW at the DeHart property.

. The sale contemplates the transfer of land to the Pennsylvania Game Commission for protection under FIG’s Army Compatible Use Buffer (ACUB) Program . Entry into said Agreement of Sale is contingent upon an appropriate due diligence period and legal review.

B. Amendment to Prior Motion - Change of Funding Source:

Motion: The Board moves to amend the motion approved at the June 25, 2014 Board Meeting pertaining to Agenda Item "WASTEWATER

H." The amendment is to change the Funding Source from "Sewer #7203

- Extraordinary Repairs" to "Water #7602 – Sinkhole Investigation & Remediation ." This amendment corrects an erroneous allocation of cost and assigns it to the appropriate budget line. The Board has been notified of this amendment to the motion in advance of this meeting.

Harrisburg Man Arrested For Concealing Death of a Child.

Type of Incident: Child Death.

Date / Time: Discovered 8/1/2014, 2030hrs..

Location: 2119 Green St.

Victim: Jarrod Tutko Jr.

Charges: Endangering Welfare of Children, Concealing Death of Child, Abuse of Corpse.

Narrative: On 8/1/14, at 2030hrs, police officers were dispatched to a home in the 2100 block of Green Street for a report of a deceased child. Their investigation revealed that at some point over the last several days, eight year old Jarrod Tutko Jr. had died in home. His father, Jarrod Tutko Sr., was aware of his son’s death. When the odor of decomposition became too strong, he informed his wife of the child’s death. She then called the police. The cause of the child’s death is unknown at this point. The investigation is ongoing. Jarrod Tutko Sr. is in custody pending arraignment on the listed charges.

2013 Dauphin County Hotel Tax - $9,074,113

Harrisburg Mayor Eric Papenfuse appeared before Dauphin county commissioners Wednesday morning with copies of a Tourism Promotion Agreement and First Amendment contracts between the City of Harrisburg and the Hershey Harrisburg Regional Visitors Bureau.

The original contract (Tourism Promotion Agreement) is dated June 26, 2008 and signed by Mary Smith Executive Director of Hershey Harrisburg Regional Visitors Bureau, Randy King (former COS for mayor Steve Reed) Chairman HHRVB, Stephen R. Reed Mayor, James J. McCarthy Controller, and Steven Dade Solicitor.

The First Amendment To Tourism Promotion Agreement is dated October 22, 2009 and signed by the same parties except for city solicitor Steven Dade who was replaced by Philip Harper the City Solicitor in 2009.

Please consider freezing the payments that go to HHRVB to promote the tourism in the City of Harrisburg.

This unwise long term agreement.

Every time you pay to park in Harrisburg, you are paying bond debt from the creation of this museum.

Mayor Reed signs another long term contract just before he leaves office.

As released by the Office of the Mayor:

HARRISBURG - Mayor Eric Papenfuse today asked the Dauphin County Commissioners to freeze money it allocates to the Hershey Harrisburg Regional Visitors Bureau until the City of Harrisburg can revise the agreement with the agency on how to disperse county hotel tax revenue.

“The vast majority of the funds dedicated for promoting tourism in Harrisburg are diverted to subsidize the Civil War Museum,” Mayor Papenfuse told the County Commissioners at their regular monthly meeting on Wednesday. “This is outrageous and it’s time we end what is essentially a failed experiment.”

County Commissioners took under advisement the Mayor’s request and assigned their attorneys to investigate the funding agreement, which provided the National Civil War Museum with almost $300,000 in 2013.

The agreement dates back to the administration of Mayor Steve Reed who extended it until 2023 as he was leaving office.

“This was a secret deal done to keep subsequent mayors from being able to change the agreement with HHRVB,” Mayor Papenfuse said. “The citizens of Harrisburg can no longer afford to pay for a museum that is not generating revenue and that is not even in the city of Harrisburg.

“We are asking County Commissioners to help us get out of a very bad agreement.”

The funding agreement passed in June 2008 requires HHRVB to provide $500,000 to the Civil War Museum if hotel tax revenues due to the city exceed $960,000. The agreement also calls for yearly increases in allocations to the museum.

Dauphin County provides from its discretionary 1 percent allocation from the hotel tax additional annual funding to the museum, which Papenfuse said “generates no revenue and has become a drain on the city.” Dauphin County provided at least $50,000 to the Civil War Museum this year.

“The original vision was the museum would become self-sustaining and pay rent to the city of Harrisburg,” Mayor Papenfuse said. “That hasn’t happened.”

The Mayor said the museum does not attract enough visitors nor does it promote tourism into the city.

“Considering the city is in financial recovery, I don’t think this is the best use of our tax dollars,” Mayor Papenfuse told the commissioners. “We could use the money we should get by renting this facility to fix potholes, support public safety and improve the quality of life for the people of Harrisburg.

Papenfuse released the National Civil War Museum’s financial statement showing the facility’s fair market rental value at $633,000 per year. The museum pays $1 per year to the city for rent.

“I don’t think the public supports this museum,” the Mayor said. “Every time we pay to park, we are basically paying to subsidize the building of this museum that is not generating any returns for the city of Harrisburg.”

The Mayor said he has tried to get museum officials to reconsider the agreement in light of the city’s fiscal needs, but “they are not interested in engaging,” he said. “They have a sense of entitlement to the money.”
